A^3 is organized around two principal missions. The first is project execution. Projects are ambitious, risky, time-constrained undertakings that culminate in a demonstration at convincing scale—something that’s more than a mere prototype, but somewhat short of a product. Projects have their start in an analytic assessment of what’s theoretically possible, the current state of the art, and an exercise in imagining what lies in the white space between… and what difference it could make. And projects end—if the demo at convincing scale is successful—in a transition to an existing Airbus Group business line, the creation of a new business line, or a spin-out. In between, projects are an aggressive sprint with an open, heterogeneous community of partners, performers, and vendors—ranging from start-ups to universities to companies large and small—capturing the world’s top mind-share in a particular field of endeavor.
Our second mission is to establish Airbus Group as the go-to brand for aerospace entrepreneurs, big and small, seeking technical, business, or financial support. It is also to facilitate partnerships between the Airbus Group core businesses and the ecosystem of startups and entrepreneurs in aerospace and adjacent domains, in Silicon Valley and globally.
Essential to our success in both of these missions is speed and the willingness to fly in the face of risk. In our legal counsel, we seek a partner to help us accomplish both of these goals. We aim to minimize the friction of complex technology transactions with broad range of partners to enable us to execute quickly: faster than our competitors and faster than the timescale of technological change. We also strive to understand and manage—rather than minimize or eliminate—risk in the course of execution.
As our legal counsel, you will be the principal legal advisor to the CEO and Deputy, as well as responsible for legal strategy and certain strategic relationships. You will report to the CEO of A^3 and to the General Counsel for Airbus Americas Inc. Your responsibilities will be to:
•Develop a scalable strategy for rapid, frictionless engagement of a diverse set of project partners, ranging from young start-ups to universities to mature industrial parties (who may be our competitors). Oversee the implementation of said strategy.
•Develop a strategy for the management of intellectual property aimed at speed and freedom of project execution (rather than ownership). Oversee the implementation of said strategy across partner agreements.
•Structure complex relationships between and across various Airbus Group divisions, subsidiaries, joint ventures, and external parties.
•Oversee transaction execution, including legal review and risk analysis for all contracts and agreements.
•Mentor A^3 Project Executives in intellectual property management and transaction execution.
•Liaise with Trade Compliance team on export control issues under the ITAR and foreign export control regimes.
•Serve as the Compliance Officer for A^3.
•Manage and direct the utilization of outside counsel.
•Liaise with Airbus Group SE and Airbus Americas Inc. legal teams.
In order to be successful in this position, you will need to possess many of the following attributes:
•Be a licensed attorney in good standing to practice either as a member of the California Bar or eligible for admission as a registered in-house counsel per New California Rules of Court 9.46.
•Possess a Juris Doctor (J.D.) degree from an accredited U.S. law school.
•Be a “U.S. person” within the meaning of the ITAR.
•Have at least 5 years of law firm, government, or in-house corporate experience performing advanced legal functions.
•Possess substantial experience structuring complex technology transactions, as well as familiarity with an international corporate environment, including export controls.
•Have done something interesting.
•Be adventurous and fun.
