*Assist with corporate governance matters including annual dissemination and review of Annual D&O Questionnaires, Independence Questionnaires and UK Emolument Forms; review and response to proxy analyst reports; support Investor Relations by preparing responses to investors and other inquiries; handling of shareholder proposals; response to SEC comment letters and other regulatory inquiries; legal review and negotiation of various bank account related contracts and documents. *Assist with the preparation and review SEC and other regulatory filings, including annual Proxy Statement, Form 10-Ks/Qs and Form 8-Ks. *Assist with drafting, reviewing and negotiating documentation for financing and other commercial transactions, including capital markets offerings, export credit facilities, syndicated loan facilities, bilateral bank loans and intercompany loan arrangements.
