Full Job Description
The VP, Associate General Counsel is responsible for providing legal advice to internal clients on a broad range of legal matters related to FGMC as a business entity. Manage contract review and litigation matters and review third party vendor contracts, TPO counterparty contracts, secondary market contracts, as well as other contract reviews as needed. Oversee FGMC litigation matters as directed by the General Counsel. Work under limited supervision and report to SVP, EVP, or Chief Legal Officer & General Counsel.
ESSENTIAL FUNCTIONS
Negotiate and draft complex commercial agreements, including non-traditional financing arrangements
Help General Counsel negotiate and document transactions relating to the purchase and sale of residential mortgage loan portfolios and of mortgage loan servicing
Negotiate and document transactions relating to third party vendor contracts and counterparties for TPO
Understand FGMC’s Guide (including knowledge of the representations, warranties, covenants, and legal remedies set forth in the Guide)
Streamline the contract review process for the lines of business
Understand intercreditor agreements, participations and loan syndications, including familiarity with lien perfection, bankruptcy and insolvency considerations
Provide advisory support to internal clients on mortgage banking and residential real estate issues
Perform other duties as assigned
REQUIRED QUALIFICATIONS
Juris Doctor (JD) degree
Membership in good standing in a State Bar, preferably Texas
7+ years of relevant legal experience in a sophisticated practice, either in-house with a well-established bank, mortgage company or real estate company, or with a top-tier law firm
