We are looking for a smart, ambitious, to join our team as in-house corporate counsel. This position supports the Organization by overseeing the legal aspects of our business. You will safeguard our reputation by guaranteeing that the company strictly follows law guidelines and give legal advice to management about all relevant issues.
The successful candidate will effectively ensure legal conformity and minimize probability of exposure.
Job Duties and Responsibilities:
· Give accurate and timely counsel to executives in a variety of legal topics for example, but not limited to; loan collections, loan documentation, labor law, corporate structure, corporate finance, and other legal matters
· Specify internal governance policies and regularly monitor compliance
· Advises on legal aspects of the company’s financing, including assessing and advising on current and future business structures and legal entities.
· Research and evaluate different legal risk factors regarding business decisions and operations
· Apply effective risk management techniques and offer proactive advice on possible legal issues
· Communicate and negotiate with external parties (external counsel, public authority etc.), creating relations of trust
· Draft and solidify agreements, contracts and other legal documents to ensure the company’s full legal rights
· Deal with complex matters with multiple stakeholders and forces
· Provide clarification on legal language to management
· Conduct work with integrity and responsibility
· Maintain current knowledge of alterations in legislation
· Ensure contractual relationships and other interactions meet industry compliance and information security standards
· Advising on general securities and corporate law matters, corporate governance, capital actions and issuances, and any compliance requirements and/or public notices associated with such matters.
· Understand a broad knowledge of federal and state laws, regulations, and guidance affecting lending institutions and possessing specific subject matter expertise in disclosure matters and any related regulatory requirements
Required Skills and Abilities:
· High degree of professional ethics and integrity
· Proven experience as a legal counsel in business environment
· Sound judgement and ability to analyze situations and information
· Excellent knowledge and understanding of corporate law and procedures
· Experience in lending, particular in regard to drafting and negotiating loan documentation is required; experience with agricultural lending is an advantage
· Possesses an understanding of the legal process in pursuit of non-performing borrowers
· Juris Doctor degree from accredited school
· Outstanding communication skills
· Member in good standing with an active membership for Colorado bar
· Member of Louisiana bar considered an as an advantage, but not required
· Minimum 5 years law office experience
· Prior experience with a top-ranked law firm and/or in-house with a financial institution / finance company performing contract negotiation and drafting and advising on regulatory issues
· Knowledge of financial markets, financial markets function and the impact of economic figures and national/regional/global events on markets
