| Counsel, Business and Legal Affairs All3Media America - Los Angeles, CA 90045 The successful candidate for this role will handle the day to day legal functions for unscripted television development and production. The candidate will be responsible for all legal matters related to production including structuring, drafting and negotiating a wide range of production-related agreements, including location, talent, above-the-line and vendor agreements, handling pre-broadcast clearance review and advising on clearance issues. Responsibilities will include: Negotiating and drafting development and production agreements (e.g., production services agreements, on-camera participant agreements, independent contractor agreements, format licenses, talent, venue and location releases.). Negotiating and drafting distribution agreements with affiliates and third party distributors. Managing a range of business affairs and production-related legal matters. Managing legal kick-off calls and coordinating distribution of production agreements to third party production companies. Analyzing and interpreting contracts and providing thoughtful legal advice on potential risks and issues in a wide range of legal areas, including intellectual property/copyright. Interfacing with production personnel/crew and executives. Assisting with maintenance of corporate entities. Requirements: JD degree from top-tier law school. Member of California State Bar. A minimum of 3-5 years of relevant experience at a network, studio, entertainment law firm or production company. Understanding and knowledge of television industry agreements, contract law and intellectual property rights, demonstrated ability to conduct legal research, analysis and reasoning. Excellent drafting, negotiation, communication (written and verbal), interpersonal, organizational and computer skills. Demonstrated ability to effectively negotiate and interact with agents, managers and outside attorneys. The successful candidates will also possess the following: Passion for television production. Hands-on production experience. Experience working with all levels of broadcasters and distributors and on pilots and first-time series. Ability to work independently, multi-task under pressure, and manage a high-volume workload efficiently.
