Job description:
We are seeking a Staff Attorney. This role will provide legal support to HFHI departments on contract management and negotiation, including supplier and vendor agreements. The successful candidate will also assist with trademark monitoring and enforcement, provide support in reviewing intellectual property (IP) provisions in agreements, and help senior attorneys with special projects across supporting U.S. and international legal work.

Essential Duties and Responsibilities:
·Negotiate and draft service/vendor agreements, IT contracts, donor agreements, sponsorship agreements,
grant agreements, and other miscellaneous agreements. Focus will be on supplier and vendor agreements.
·Research and advise on related privacy and data protection matters.
·Develop and review checklists, legal content, templates, and forms.
·Other related duties as assigned by supervisor.

Provide legal support to HFHI departments on risk management, compliance, and other general matters, including:
·Trademark and IP Support: Assist in monitoring use of HFHI’s trademarks and help enforce trademark rights; coordinate with external counsel as needed for filings and disputes.
·Research and advise on tax issues.
·Research legal issues and prepare memoranda and correspondence.
·Other related duties as assigned by supervisor.

Provide general guidance to HFHI affiliated entities (US affiliates and international country offices) on legal and operational issues, including compliance with laws and HFHI policies.

The candidate should be eager to join and support a non-profit in-house legal team, and have good judgment, work collaboratively and effectively with varying internal clients and with minimal supervision, have strong organizational skills and be solutions-oriented with a positive outlook, and a have strong work ethic.

Minimum Requirements:
·Juris Doctor (JD) from an accredited law school.
·Active bar membership in good standing (in at least one U.S. jurisdiction).
·1-5 years of relevant legal experience, ideally including contract or IP work.
·Interest in nonprofit legal issues and mission-driven work.
·Strong legal research, writing, and communication skills.
·Detail-oriented with excellent organizational and time-management abilities
·Able to work collaboratively and manage multiple assignments with competing deadlines.

Preferred - in addition to minimum:
· Experience with an international NGO or non-profit organization and/or multi-national, corporate law department is a plus.
· Experience with one or more of the following substantive legal areas is a plus, but not required: contract management, data privacy and security, employment law matters, regulatory programs.
· Good working knowledge of U.S. intellectual property and trademark law with interest in developing expertise.
· Working knowledge of supplier/vendor contracting processes.
· Experience with contracts lifecycle management system such as DocuSign CLM, Agiloft, Irconclad, Juro.

The actual salary offered for this role will be based on a variety of factors, including location, internal equity and the candidate’s qualifications and professional experience. HFHI offers a competitive, comprehensive benefits package that varies by country and typically includes vacation leave, sick leave, personal days, health insurance options, retirement plan contributions and life insurance. For work locations in the US, the hiring range for this position is $79,200 to $93,200.
