| The role is responsible for drafting, reviewing, and negotiating a wide range of commercial agreements, including confidentiality agreements, supplier and vendor contracts, purchase orders, professional services agreements, and other business-related agreements. This position collaborates with internal teams to understand business objectives, provide legal guidance, support contract administration, and assist with corporate contract management. Responsibilities also include developing and maintaining compliance programs, conducting audits, advising stakeholders on regulatory matters, updating company policies, supporting cross-functional initiatives, and contributing to continuous improvement efforts. Associate General Counsel ASSOC006664 Location: Richmond, VA Job Type: Full time What You’ll Do: Commercial Contract Drafting and Negotiation: Draft, review and negotiate a variety of commercial contracts, including non-disclosure agreements, master supplier and vendor agreements, sales and purchase orders, professional services agreements and a wide array of other vendor agreements Contribute to negotiation of agreements with vendors and suppliers Collaborate with business units to understand objectives and provide guidance on legal implications Stay informed about industry-specific regulations and legal developments Contract Review and Administration: Assist General Counsel in review and administration of corporate contracts and relationships Special Projects: Undertake special projects on an as-needed basis, contributing legal expertise to cross-functional initiatives Compliance Management: Develop and implement comprehensive compliance programs Conduct regular audits to ensure adherence to relevant laws, regulations, and industry standards Provide guidance on compliance matters to internal stakeholders Contribute to the development and updating of company policies Ensure policies are legally sound, aligned with business goals, and communicated effectively Work in coordination with team to achieve Continuous Improvement goals and objectives Perform other duties as assigned What We’re Looking For: Juris Doctorate degree from a top-ranked accredited law school Minimum of three years of law firm or a combination of law firm and in-house hands-on experience drafting and negotiating contracts Experience effectively handling a high volume of contracts Licensed to practice law in Virginia or eligible to be admitted under a Virginia Corporate Counsel Certificate Excellent knowledge of commercial contracts and the ability to creatively solve problems while applying sound business and legal judgment to a wide variety of commercial contracts and relationships Strong problem-solving skills to address complex contracts and vendor agreements Excellent verbal and written communication, negotiation, and presentation skills with the ability to effectively interact with legal and non-legal team members Strong legal research and analytical skills Detail-oriented with strong organizational skills Aptitude to quickly learn and develop new skills Excellent interpersonal and negotiation skills Independent and innovative thinker with excellent analytical and reasoning skills and judgment What Success Looks Like In This Role: Analyzing complex data and identifying potential risks Effective collaboration with cross-functional teams Collaboration with internal and external stakeholders Promoting a positive customer experience Upholding the Core Values of Integrity, Commitment, Excellence and Teamwork by embracing The Carter Way Physical Requirements: Required to stand; walk and talk or hear Frequently required to sit; use hands to finger, handle, or feel; reach with hands and arms; climb or balance and stoop, kneel, crouch, or crawl Occasionally lift and /or move up to 20 pounds Specific vision abilities required by this job include close vision, distance vision and ability to adjust focus Competitive Compensation and Benefits: Health, dental and vision insurance Paid time off 401(k), $0.75 to $1.25 match up to 6% Life and disability insurance In-house training instructors/programs Tuition reimbursement Employee referral bonus program Tool allowances and tool loans Discounts on cellular phone service, computers, and vehicles Opportunities for overtime Shift differential (if applicable) Actual base pay may vary based on experience, skills, qualifications, education, geographic location, and other relevant business considerations.
