The General Counsel will be the sole leader of the legal department at Thetford and support key legal activity across Thetford and all subsidiaries in North America and International. The General Counsel will partner and consult with company leadership on a variety of legal matters including but not limited to product liability & consumer protection, contracts, warranty, intellectual property, environmental, labor and employment, statutory filings, and corporate governance.
Managing organization's legal matters with heavy emphasis on product liability and contracts
Set up legal framework for Thetford and all subsidiaries
Advise executive, senior management and board on various legal matters
Responsible for all corporate governance activities
Maintain knowledge of organization’s operations and legal documents
Collaborate with internal stakeholders on deal structure and contract negotiations
Examine and create draft agreements, such as supplier and customer agreements
Assist Sales & Marketing organization with entering into sales agreements and interpretation of OEM and Aftermarket Customer terms and conditions
Reviews and provides feedback regarding supply agreements with company’s suppliers of components, raw materials, and commodities
Provides counsel to Purchasing at every stage of the supply relationships, from negotiating the initial award of business to handling production disruptions, quality issues, stop-ships, and ongoing warranty commitments
Conducting legal research and reviewing company's strategy pertaining to legal actions
Creating new entities and managing organization's intellectual property
Promulgating and creating directives of corporate acts and decisions
Preserving all corporate records
Handling statutory filings, such as licensing
Liaising with outside (international) counsel regarding their assignments
Initiates process improvement initiatives such as development and maintenance of templates, checklists, and other productivity tools
Supports commercial disputes and litigation related to the Company’s sales and purchasing activities
Review and relaunch Business Ethics Program to organization
Lead compliance activities including employee compliance training and records retention
This is not a fully remote role, position is based in Ann Arbor, Michigan and will require work onsite.
Qualifications and Education Requirements
Juris Doctor degree from accredited law school and must be in-good-standing with at least one state bar
Experience with working in an international environment
Minimum 10 years of experience with an established private practice or in-house, preferably with counseling in the consumer goods manufacturing sector
Experience with corporate governance issues and corporate secretarial duties
Knowledge of statutes, rules and regulations pertaining to businesses
Proficient understanding of business sensitivities and confidentiality

Demonstrated ability to develop strong, collaborative relationships with diverse, global cross-functional senior company leaders and effectively advise them on mitigating business risk
