North Capital Investment Technology seeks a General Counsel to lead the firm’s strategic and tactical legal initiatives, and to help guide the evolution of our strategic vision. As a partner on the senior management team, you will be a key part of the firm’s operational backbone. You will ensure that company and its affiliates, which include a registered broker-dealer and a registered investment advisor, operate within the law and comply with all SEC and FINRA regulations at all times. You will be directly involved in complex business transactions, negotiating critical contracts, and providing counsel on legal and business strategy, while serving as an effective guardian of the firm. The successful candidate will be business-minded, results-oriented, and able to ensure legal compliance while understanding and meeting business needs.
Responsibilities
Provide expert, strategic and tactical legal advice regarding the firm’s legal and regulatory positioning and compliance.
Serve as a leader within the firm in promoting ethics, integrity, transparency, good governance, and a strong service culture.
Serve as a public face of the firm with regulators.
Interface with the firm’s network of business partners, customers, regulators, politicians, external attorneys, and compliance consultants.
Oversee internal governance policies and procedures.
Evaluate and assess multiple internal and external factors and scenarios that could lead to various critical path decisions and courses of action.
Anticipate issues and estimate risks in a logical and well-reasoned manner.
Identify proactive solutions that will eliminate or mitigate risk.
Create trust relationships and mutual respect with employees, customers, and other key stakeholders.
Draft and maintain effective agreements that achieve business objectives while minimizing risk risks and maximizing legal rights.
Address complex, significant matters that cut across legal and related business areas.
Develop legal thought leadership on important legislative and regulatory initiatives.
Requirements
Proven legal experience in a business or deal environment;
Overall broad legal knowledge (corporate law, securities law, litigation, labor law, etc.);
In-depth understanding of how legal issues affect organizations;
Ability to lead development of legal strategy and objectives;
High degree of professional ethics, integrity and gravitas;
Ability to use discretion and maintain all confidentiality;
Excellent analytical skills and judgement;
Outstanding written and verbal communication skills;
D. degree or equivalent;
Current authorization to work in the United States on a full-time, permanent basis.
