POSITION SUMMARY
Loud And Live is looking for an experienced and passionate candidate to oversee and manage its legal, business affairs needs. The ideal candidate will have a general transactional and corporate background, with relevant experience in media, entertainment, marketing, IP and similar businesses.
The VP of Legal and Business Affairs will provide senior management and department heads with effective advice and support on the company’s legal management strategies and their implementation. The VP of Legal and Business Affairs will manage and be directly involved in complex business transactions, negotiate critical contracts, and will also manage and oversee the work of outside counsel as needed.
The VP of Legal and Business Affairs will report directly to the Executive Vice President.
ESSENTIAL AREAS OF RESPONSIBILITY
· Legal
o Serve and advise the senior management team on all matters pertaining to legal and risk management
o Oversee and manage company-wide day-to-day legal matters, including reviewing, drafting, structuring and negotiating a wide variety of agreements across the enterprise, including but not limited to services, licensing, production, sponsorship, talent booking & representation, confidentiality, lease and vendor agreements
o Serves as legal advisor on all major business transactions, including acquisitions, divestitures, mergers and joint ventures
o Advise and support with all legal aspects of the company’s corporate structure, including assessing and advising on current and future business structures and legal entities
o Advise internal departments on legal issues and risks, complex agreement structures, approval processes, copyright issues, company policies & procedures and general agreement strategy
o Oversee and manage company-wide trademark requirements, IP management and music royalties
o Support Human Resources department with related legal matters, including offer letters, confidentiality, non-compete and non-disclosure agreements
o Work with company’s outside counsel on specific projects, including M&A, litigation matters and IP related opportunities and needs
o Oversee and manage the continuous improvement of standard form agreements and legal processes enterprise-wide
o Performs other related legal and business affairs duties as assigned
o Pro-actively working with Department leaders to ensure that best practice and knowledge is understood, shared and utilized amongst the team
o Providing the business with commercial, pragmatic and salient advice and guidance on business opportunities can be followed at all times
o Working pro-actively and closely with the Department leaders to ensure that colleagues are aware of the importance of involving the Legal team at the outset in any commercial opportunity or discussion
o Assisting with new projects as and when they arise
POSITION REQUIREMENTS
Education/Certification/Experience:
· The candidate needs to have a J.D. Degree, 8 years minimum of experience and an active License to practice law in the United States (Florida highly preferred)
· Business-oriented lawyer with relevant legal experience (i.e. corporate, transactional, entertainment, live events, marketing, media, etc.)
Skills/Knowledge/Abilities
· The candidate must have a proven success record of effectively representing the legal and risk management needs of a company, both internally and externally
· The candidate should be a self-starter and be able to work closely with the Executive team and external counsel to manage all relevant legal and risk management matters
· Must be able to maintain accurate, up-to-date legal records, files and agreements
· PC Skills: Proficiency in Microsoft Word, Excel, and Outlook required
· Must be able to communicate tactfully and effectively both internally and externally (in person, on the telephone and through written communication)
· Must have strong analytical, negotiation and leadership skills
· Must be able to handle multiple tasks in a fast-paced environment and work efficiently under time constraints
· Must be able to prioritize work effectively
· Must have attention to detail and ability to work well with cross-functional departments
· The candidate must be proficient in English and Spanish (oral and written)

· Based out of Miami with the ability to travel
