SUMMARY OF THE ROLE
The Associate General Counsel, Project Finance supports the development of the (i) Rio Grande LNG project, including the project financing of the facilities, and (ii) carbon capture and storage (CCS) projects, including the structuring of the commercial arrangements and project financing of each project throughout the United States. The position works closely with the commercial team and senior management.
RESPONSIBILITIES
Attend to all aspects and issues related to the project financing of the (i) facilities at the Rio Grande LNG project in Brownsville, Texas; (ii) CCS projects.
Structure, draft, review and effectively negotiate debt and equity financing structures, including portfolio financing structures, back-leverage debt, tax equity partnership documents.
Structure, draft, review and effectively negotiate membership interest purchase and sale agreements, joint venture agreements, shared facilities agreements and others required to structure the project financing of the projects.
Provide general legal support to finance, business development, construction, and operations teams in the deployment of the relevant projects.
Provide general legal counsel and strategic guidance to senior and executive level management.
Effectively and efficiently engage and manage outside counsel.
REQUIREMENTS
Minimum experience required for the position
10-15 years of experience at a large law firm or comparable in-house corporate environment with a sophisticated corporate practice
Strong experience in project finance or project development, experience with upstream oil and gas, midstream and LNG projects strongly preferred.
Required education
J.D. from an accredited law school required, with excellent academic credentials.
Active bar membership in good standing in at least one U.S. jurisdiction.

Ability to manage numerous projects simultaneously under tight timelines.

Ability to work collaboratively and effectively with multiple internal groups members, with the ability to grasp and develop creative legal solutions responsive to the applicable business objective and explain those legal solutions to non-lawyers.
