Sr. Corporate Counsel
United BioSource (UBC) is seeking a highly motivated, talented, and customer-focused commercial attorney prepared to support the company’s global legal, compliance, and contracting requirements with a primary emphasis on commercial contracting. The position will report to UBC’s Associate General Counsel and will work closely with other members of the legal, contracting, and compliance teams.
Major Responsibilities:
Provide primary legal support with structuring, drafting, and negotiating a wide variety of commercial contracts including master service agreements, statements of work, change orders, investigator site agreements, vendor/subcontractor agreements, third party access agreements, technology licenses, consulting agreements, real estate leases, and confidentiality agreements.
Become a subject matter expert in UBC’s contract policies and practices, and drive efficiencies and improvements in contracting policies, processes, and forms. Implement and update standard contract terms and templates.
Provide commercial and sales leaders across the company with guidance on complex legal and compliance issues.
Provide strategic advice on complex commercial issues, including deal structures, customer disputes, and contract interpretation issues.
Qualifications:
J.D. degree and membership in at least one state bar
3+ years of legal experience at a law firm and/or in-house corporate legal department
Excellent judgment, attention to detail, and ability to manage sensitive and confidential information
Experience negotiating successfully with biopharmaceutical companies is preferred, but not required
Excellent verbal and written communication skills
Demonstrated ability to multi-task in a fast-paced entrepreneurial environment
Ability to develop a deep understanding of internal and external clients’ businesses to identify creative, practical solutions that address client needs while minimizing risk
Strong interpersonal and presentation skills, along with the ability to communicate effectively with internal stakeholders at all levels of the company
Ability to work independently with little or no supervision
