The successful candidate will be providing legal support to various matters relating to private investment funds, with a focus on fund structuring, formation and maintenance, marketing and distribution, and corporate governance.
Provide advice on the formation, structuring and marketing/distribution of closed-end funds and special purpose vehicles.
Prepare, review and negotiate fund offering documents and side letters as well as agreements with service providers, including administrators and custodians.
Partner with internal stakeholders, including investor relations, finance and administration, tax, compliance and other teams, to help develop processes and provide advice relating to all aspects of private funds.
Oversee the corporate governance of private funds, including analyzing issues and providing advice under a variety of regulations, including particularly SEC rules.
Be the primary lead on all corporate-related legal activities, including regulatory, insurance, tax, and human resources.
Manage external U.S. counsel on a cost-effective basis.
Ability to draft, negotiate and interpret contracts
Ability to synthesize business terms and incorporate legal protections into a binding agreement
Knowledge of the proper content of agreements and ability to understand and evaluate terms and contract language proposed by counterparties to determine which items are and are not negotiable
Knowledge of negotiation strategies and tactics, including the ability to apply appropriate strategies during negotiations
Ability to understand the company's contractual relationships with customers, contractors, and other parties, including knowledge of the implications that such relationships have on the company's strategic decision-making and freedom to act
Ability to determine and understand the company's objectives and risk tolerance and to incorporate the information in making business and legal decisions
Ability to devise legal solutions that reduce financial liability, costs, and negative publicity to acceptable levels
Ability to conduct and analyze legal research to determine applicable legal principles
Knowledge of and ability to analyze effect of company policies on business activities
Maintain professional demeanor and focus on objectives in confrontational negotiations
Collaborate with management to devise efficient defense strategies
Specify internal governance policies and regularly monitor compliance
Research and evaluate different risk factors regarding business decisions and operations
Apply effective risk management techniques and offer proactive advice on possible legal issues
Juris Doctor Degree from a reputable law school and licensed to practice law in the U.S.
Active member of the Florida bar and in good standing
5 plus years of securities, regulatory and/or private fund formation experience in a law, investment or financial institution, although candidates with a similar level of experience in other investment management areas will also be considered.
Knowledge of laws and regulations under the Investment Company Act of 1940, Investment Advisers Act of 1940 and other regulatory regimes impacting privately offered funds
Excellent written and verbal communication skills and high degree of attention to detail
Demonstrated initiative and self-direction.
Strong organizational skills and ability to balance and prioritize multiple matters involving different groups within a fast-paced environment.
Proven experience as an In-House Legal Counsel
Excellent knowledge and understanding of corporate law and procedures
Full comprehension of the influences of the external environment of a corporation
Demonstrated ability to create legal defensive or proactive strategies
High degree of professional ethics and integrity
Sound judgment and ability to analyze situations and information
This is a full-time position that requires day, evening, and weekend availability. This position is located in Aventura, Florida and some travel is required.
