At CIC Health, our legal team members are essential partners to our business; they are well-versed in how the business operates with the ability to develop legal strategy and objectives. The General Counsel will report directly to the President of CIC Health and oversee a diverse range of legal issues and projects related to the company’s business while making an immediate impact on public health. The General Counsel will provide executive-level advice to the company’s senior management team and Board of Directors on all regulatory, compliance, contractual and business development matters impacting the company. The ideal candidate is a seasoned, results-oriented individual with at least seven years of relevant experience and the ability to work autonomously in a dynamic and rapidly evolving healthcare services environment.

YOUR DAY-TO-DAY WORK
This role reports directly to the President of CIC Health and manages all legal matters for the business. As both a hand-on operator and strategic business partner, the General Counsel will lead and manage direct reports, including building an internal team, as well as oversee all external legal counsel. Specific job responsibilities may include:

Leadership:
• Partner with senior management to create and align the company’s legal strategy, and to deliver value to stakeholders.
• Lead and manage, and build a team of direct-reports, creating a collaborative and inclusive culture.
• Manage all external legal counsel on various matters, ensuring efficient and effective solutions; manage spending on outside counsel and build exceptional internal capabilities where appropriate.
• Represent CIC Health directly and/or manage outside counsel in any litigation matters.
• Conduct legal research and prepare reports and presentations as requested.
• Field all legal and compliance inquiries from stakeholders.
• Create, improve and implement company-wide policies, procedures, and standard agreements.
• Create processes and tools through which legal provides guidance and frameworks to support a rapidly growing business.
• Participate in organizational negotiations and mediations as required.

Regulatory/Compliance:
• Remain informed of all the latest changes on the federal, state, city, and county measures that could impact business operations.
• Review and analyze legal risks and opportunities associated with the constantly changing healthcare regulatory environment.
• Craft and review any legal responses.
• Lead company-wide regulatory compliance, and partner with the senior management team to identify risk areas to the business and form appropriate mitigation strategies.
• Oversee all risk management activities and advise on regulatory, data privacy requirements and employment matters to mitigate risk.
• Ensure all policies and documentation are fully compliant under applicable legislation.

Contractual:
• Provide counsel with regards to negotiations and contracts.
• Draft, review, interpret and negotiate corporate documents and agreements on behalf of the company, including service agreements, partnership agreements, vendor contracts, and corporate transactions in support of the business.
• Create corporate contracting resources and stay up-to-date on legal developments.
• Develop procedures to improve the timely completion of contract deliverables.
• Ensure all contracting forms and templates reflect the current best practices.

Strategic Advisor:
• Advise the company’s senior management team and Board on legal considerations around strategic business decisions, serving as a trusted partner and advisor.
• Quickly gain the trust and confidence of the senior management team and Board of Directors, as well as other key stakeholders; establish the credibility necessary to allow for influence rather than authority in recommending actions or outcomes.
• Set and maintain high standards with clear disciplines on work product turnaround, quality and positive outcomes.
• Demonstrate expert communication skills to ensure all legal matters and information are clear and effective.
• Negotiate business and legal terms for a variety of operational contracts.
• Other duties as assigned.

• An experienced attorney capable of working autonomously and applying a creative mindset to problem-solving.
• An advisor to senior leadership on key legal and strategic initiatives.
• A results-oriented individual with at least seven years of relevant experience and the ability to work in a dynamic and rapidly evolving environment.
• Effective, articulate, and dynamic with strong communication and interpersonal skills.
• An independent, self-motivated individual with a positive, service-focused attitude.
• Someone with excellent judgment and a strong work ethic.
• A self-starter with a thoughtful, calm and deliberative approach and a consultative mindset, balanced with an action-oriented approach.

YOU HAVE
• A Juris Doctorate degree and are licensed as a practicing attorney in at least one state, and qualify as in-house counsel in the states in which CIC Health does business.
• At least seven years of experience practicing law; experience working both in a law firm and as in-house company counsel is strongly preferred.
• Expertise in a variety of legal areas, including: healthcare law, contract law, employment law, privacy and relevant regulatory law, as well as corporate transactions.
• Experience building and leading internal legal teams while optimizing external counsel.
• Ability to express thoughts and ideas clearly and logically in both oral and written form.
• Strong interpersonal and communication skills, the ability to effectively manage multiple projects simultaneously and effectively with diverse groups of people and cross-functional project teams.
• Capacity to exercise discretion in safeguarding information through compliance with rules of disclosure.
• A proven track record of leading projects and managing multiple priorities.
• The ability to lead a diverse team in an inclusive and collaborative environment.
• A desire to be part of a mission-driven healthcare delivery organization with prior experience in a healthcare services organization strongly preferred.
