Penn-Florida Companies, is currently seeking an experienced General Counsel to join our team to oversee all aspects of our business. The ideal candidate will have experience in acquisition, disposition, leasing, conveyance, procuring title insurance, development and financing of real property; financing of real property using a variety of debt and equity instruments; ownership of real estate by government, private entities, joint ventures, condominium structures, and fee simple; compliance of real estate, state and local regulations; and environmental regulations.
This candidate must thrive in a fast-paced environment and will be expected to build positive client relationships with diplomacy and business acumen, and provide insightful and timely counsel and advice to a wide range of business partners on a broad range of commercial real estate related issues.
Job Responsibilities:
To perform this job successfully, this attorney will provide legal analysis, advice and guidance on a variety of complex real estate and transactional issues including, but not limited to:
Work closely with business teams to assess and advise on business risks and risk mitigation strategies
Manage legal and contractual compliance, including permitting, licensing, internal and external approvals, insurance, inspections and other legal requirements (e.g., zoning variances, building codes, lien releases, ADA, etc.)
Draft and negotiate loan documents for project finance, commercial leases, and construction contracts for project development
Draft, review and negotiate commercial real estate documents, including but not limited to commercial leases for retail stores, corporate facility locations, construction contracts, vendor services agreements, license agreements, SNDAs, estoppels, LOIs and other related documents
Provide support to the project development team to secure necessary governmental and other stakeholder approvals for new projects
Negotiate, draft, and review construction contracts, including prime contracts, development agreements, design services agreements, and construction management agreements
Resolve disputes with landlords, contractors, tenants and/or subtenants and work closely with Lease Administration with respect to property management issues (e.g. resolution of construction disputes, rent discrepancies, construction liens, maintenance matters, etc.
Manage external issues
. Requirements:
Admission to Florida bar or ability to register as in-house counsel
Minimum of 10 years of relevant Commercial Real Estate Law practice or in-house legal experience
Strong knowledge in formation of entities, purchase and sale agreements, financing documents, risk management and corporate governance in commercial real estate.
Demonstrated ability to assess risks and make sound and practical judgement calls
Ability to successfully work independently as well as on teams including diverse set of personalities and skill levels
Strong work ethic, effective oral and written communication skills, and the ability to prioritize and multi-task in a fast-paced environment
A business-focused, creative problem solver who is open to new ideas and new approaches
