Midas Capital is seeking an Attorney to serve as our General Counsel and be a contributing member to our leadership team. The candidate will need to collaborate cross-functionally with outside counsel and strategic investment partners working towards executing the company's tactical ventures and investments.
What You Will Be Doing:
As a member Midas Capital's leadership team, lead the comprehensive legal support for all our business lines representing $500M+ of real estate assets.
Directly participate in product development including origination, structuring and regulatory affairs across many distinct markets and jurisdictions.
Actively participate in Midas Capital's expansion efforts and the numerous commercial and legal considerations surrounding growth, positioning, and risk management.
Manage all legal matters for all of Midas' investment vehicle, including Midas Real Estate Partners, a multi-sector real estate investment vehicle for private investors, including fund formation, regulatory compliance and governance.
Devise, initiate, maintain, and revise compliance and regulatory policies, procedures, controls, and training based on the specific needs of the business and current regulatory requirements.
Develop and update a compliance monitoring program across multiple funds, investment strategies and asset classes.
Draft, interpret and negotiate various real estate related contracts including franchise agreements, commercial real estate leases, purchase and sale agreements, licenses, consulting and service agreements, vendor and construction contracts, estoppels, SNDAs and other ancillary real estate documents.
Assist with all phases of acquisitions, developments, dispositions, and leasing; including, but not limited to, examining title, use restrictions, zoning, surveys, easements, CID/TIFF entitlements, development agreements, negotiating loan agreements, addressing closing requirements, and other legal due diligence as needed.
Manage and resolve commercial tenant lease issues and ensure tenant lease compliance.
Manage legal work for the company as needed. Help support the company's business needs and objectives through strong legal advice and guidance.
Reviewing marketing materials and otherwise facilitating fundraising and marketing initiates
Reviewing and updating offering materials.
Provide advice and counsel to executive members of the company regarding corporate business matters, real estate issues, and other general legal advice.
Manage the firm's regulatory compliance with SEC, various states, and other regulatory bodies for which we conduct business.
Manage and partner with outside counsel on various complex, transactional, specialty and litigation issues as needed.
Any other duties that may be assigned from time to time.
The Ideal Candidate:
Juris Doctor (J.D.) degree from a school of law accredited by the American Bar Association.
Must be licensed and in good standing with the Missouri Bar Association.
Strong analytical and communication skills required.
5+ years of experience with strong background in contract compliance and risk management.
5+ years of experience in property management or commercial real estate.
Member of the ACC (Association of Corporate Counsel) preferred.
Ability and awareness to appreciate the business side of a transaction, as well as the legal, and balance appropriately
Ability to provide accurate, reasoned, and concise advice on short notice without undue reliance on outside counsel
