Job Description
The General Counsel and Corporate Secretary is a key member of the leadership team. Company has made 30 acquisitions over the past 3 years and General Counsel will be responsible with drafting and reviewing deal documents including Purchase Agreements, Employment Agreements, Bank Loan Documents, Real Estate Leases, Sale-leaseback Agreements, etc. for future acquisitions. In addition to supporting the acquisition efforts, the General Counsel will provide advice and counsel to executive management related to a wide range of topics within the organization, such as, assisting with analysis and mitigation of compliance issues, identifying new and emerging areas of risk, managing customer contracts and conducting or overseeing legal research. General Counsel should be able to handle basic contract and collections litigation. Ideal candidate will be entrepreneurial, strategic, enjoy partnering with others and being part of a growing, evolving organization.
Duties and Responsibilities of the Digital Marketing Manager
•Providing legal advice and services to the senior management team and affiliated corporate entities for a wide range of operational initiatives
•Drafting and reviewing Asset Purchase Agreements, Stock Purchase Agreements, Employment Agreements, and other deal related documents
•Reviewing leases and real estate purchase agreements
•File basic litigation like contract cases, collections cases
•Overseeing the legal matters of the business as a whole, including acting as the business’ legal representative
•Maintaining knowledge of the company’s legal documents and operations
•Crafting and reviewing legal strategy in response to any litigation
•Keeping a record of all legal documents and proceedings for the company
•Facilitating filings of licensing forms and other statutory requirements
•Communicating with outside counsel
•Legally filing for copyright of intellectual property
•Perform due diligence, coordinate transactions, and work with the team to close acquisitions
•Track transaction tasks, parties, and key dates, and communicate progress to team as issues and tasks are resolved
•Supervise and finalize entity formation, corporate governance, and human resources legal work
•Conduct basic legal and business research
•Carry out related responsibilities as company needs dictate
•Other duties as assigned
Qualification & Experience
•J.D. degree from an ABA-accredited law school
•Licensed to practice law in Missouri or licensed in another jurisdiction with the ability to become licensed in Missouri within one year
•Experience with drafting and reviewing Asset Purchase Agreements, Stock Purchase Agreements, Employment Agreements, and other deal related documents
•Experience reviewing leases and real estate purchase agreements
•A minimum of five years of legal experience, preferably as an in-house counsel
Preferred Skills
•Preference will be given to candidates who also have corporate or business experience
•Strong management skills with a successful track record in attracting and retaining top talent and building a high performing team
•Must have strong analytical and communication skills and sound judgment in safeguarding confidential and sensitive information
•Strong moral character and high ethical standards
•Strong business acumen and ability to understand business consequences of legal advice with a client-focused attitude.
