Overview of the role
The General Counsel will oversee all legal matters and advise the EVOTEK’s Executive and Senior Management on legal processes and risks impacting the organization.In addition to negotiating critical contracts, the General Counsel will manage the legal, compliance, and risk management functions, and will oversee the work of outside counsel.
Responsibilities
Oversee all legal and compliance affairs for various lines of business and advise the executive team and management at all levels of the organization accordingly
Draft and/or refine existing commercial agreements, including Client/Partner contracts, vendor agreements, NDAs, MSAs, etc.
Hire and direct outside legal counsel including their management of all EVOTEK legal proceedings to ensure the best interests of the company are protected, to include:
Litigation management
Guidance in the strategy and course of litigation
Leverage of internal resources to manage outside counsel costs
Coordinate execution/resolution of customer contracts, vendor agreements, HR/employment issues, S corporation/shareholder contracts, and other compliance-related challenges experienced by a fast-growing company
Formulate, implement and manage internal governance policies to ensure regulatory and legal compliance
Anticipate and identify legal risks, stay abreast of various regulatory developments, and use critical thinking to provide proactive and strategic solutions to eliminate or mitigate those risks in this rapidly changing legislative and regulatory environment
Research unique legal issues impacting the organization
Qualifications
Juris Doctorate and be a member in good standing with the California State Bar Association.
At least 3 years of in-house legal experience, including experience in management of outside counsel
At least 4 years of broad-based yet in-depth contract law and commercial experience
Current portfolio that includes technology-related commercial, corporate, and HR legal matters specific to enterprise B2B operations
Outstanding knowledge of commercial contract law and negotiation
Experience dealing with employment law, including independent contracting, corporatin documents, compensation plans, and HR issues
The ability to quickly master and integrate legal, business, technical, and practical analysis
Excellent analytical skills and versatility in solving and managing legal issues
Must be a U.S. Citizen
