ESSENTIAL DUTIES AND RESPONSIBILITIES:

• Provide legal advice with respect to a wide variety of labour and employment matters, including compliance with the Age Discrimination in Employment Act, the Fair Labor Standards Act, the Family and Medical Leave Act, the National Labor Relations Act, the Occupational Health and Safety Act and various state-specific employment laws.

• Draft and administer employment contracts, non-competition and confidentiality agreements, employee severance packages, executive compensation arrangements, voluntary exit and early retirement initiatives.

• Provide legal representation in a variety of civil litigation and regulatory matters before various state and federal courts and administrative agencies, including the Equal Employment Opportunity Commission and the National Labor Relations Board, to defend claims of discrimination, retaliation or wrongful discharge and charges of violations of the National Labor Relations Act.

• Draft and implement comprehensive workplace policies and procedures; act as a key custodian for various HR control documents such as the Employee Handbook, template employment contracts, template severance letters, etc.

• Provide strategic advice on various corporate compliance functions, policies, investigations and remedial action, including Hotline.

• Advise on disability management and accommodation issues involving the Americans with Disabilities Act and analogous state laws.

• Conduct wide variety of sensitive workplace investigations, and/or provide legal oversight for investigations being conducted by Company personnel or by third parties so as to maintain legal privilege.

• Provide advice and interpretation of collective agreement language and represent TSG facilities in grievances and arbitration-related matters.

• Provide legal advice and support on a variety of benefit plans, policies, insurance programs and compensation structures, Disability Plans, Group Benefits, Retirement Programs and compliance with the Employee Retirement Income Security Act.

• Advise on legal issues arising in the context of a variety of corporate and commercial transactions, including the performance of due diligence.

• Provide submissions to various government regulatory bodies and legislative committees regarding new legislative developments and their impact on employers.

• Develop various communication-related material for important workplace initiatives, as well as assisting in preparation of corporate communications in response to media inquiries.

• Provide day to day strategic advice and support in all areas of HR-related law and employee relations matters, including hiring practices, discipline and discharge, discrimination and harassment, unions and labour relations, corporate compliance; interpret and apply employment policies and; negotiate and prepare employment contracts and severance agreements.

• Provide Corporate oversight role for layoffs and location closures to reduce overall cost and liability and ensure compliance with the Worker Adjustment and Retraining Act and analogous state laws.

• Work closely with other in-house legal counsel as well as select and direct external legal counsel, including providing primary oversight for external litigation files

• Provide advice regarding compliance with occupational health, safety and environmental requirements and TSG specific safety and environmental policies and practices, and act as legal point of contact for Audits, Inspections and Investigations to maintain legal privilege, provide strategic advice and represent Company in Occupational Health and Safety Administration matters.

• Develop and provide training and educational programs in all areas of employment and HR law to support Company managers and supervisors at the Corporate, Group and Divisional levels.

• Act as a key strategic advisor to all TSG locations in the course of union negotiations, including researching and costing proposals and preparing and/or reviewing drafts of collective agreements language.

• Act as chief negotiator in collective bargaining negotiations, where necessary and appropriate.

• Ensure that all labour negotiations are properly documented and that negotiation materials and settlement documents are maintained and preserved

• Provide education and training of management on negotiated CBA changes and assist with implementation where required.

• Provide strategic advice and assistance in the implementation of a labour relations strategy covering both unionized and nonunionized locations.

• Act as a strategic resource for non-union TSG locations in developing labour strategies and workplace policies that help mitigate the risk of potential unionization.

• Advise local management teams in gathering pre-negotiation materials, assist with benefit costing, help in the resolution of high-profile grievances prior to negotiations commencing, and support the development of negotiation proposals/language revisions.

• Support and advise both union and non-union operations with respect to day-to-day labour relations issues and labour conflict resolution.

• Provide assistance and support in relation to workplace complaint resolution, through the Hotline’

• Represent the Company as necessary in the final step of Grievance Procedure, and documentation of any minutes of settlements flowing therefrom.

• Maintain comprehensive archive/database of prior collective bargaining materials, proposals exchanged between the parties, memorandums of agreement, bargaining notes and negotiating materials for use as evidence and a resource in subsequent negotiations/litigation.

• Act as liaison with senior Union leaders and negotiators, at the local, regional and national levels to ensure ongoing proactive relations.

• Monitor collective bargaining and negotiated settlements with competitors and customers throughout the industry on an ongoing basis to ensure TSG has accurate labour cost intelligence as to wage and benefit trends, risks and opportunities.

• Monitor and provide expert legal advice on developments and labour arbitration decisions of significance arising out of the National Labor Relations Board and other applicable Tribunals.

• Provide advisory services to HR professionals and executives with respect to labour relations issues and developments, as necessary.

• Help develop and lead best practices in labour relations across TSG facilities

• Provide strategic legal advice to TSG locations in developing plans and strategies to help address various types of labour-related work stoppage, slowdowns, and strikes – including application for legal injunctive relief, where required.

• Advise TSG facilities on compliance with state and federal laws pertaining to wage garnishments and tax levies and preparation of responses to documents and pleadings served on the Company pursuant to those laws.

• Advise on claims and civil actions arising from personal injuries to employees and contractors occurring on Company premises, including workers’ compensation subrogation and insured matters, and select and direct external legal counsel when engaged.
