Full Job Description
This is an excellent opportunity for the successful candidate to have exposure to a variety of commercial contracts, customers and jurisdictions, to include employment law in an exciting and dynamic construction environment. The ideal candidate must be able to demonstrate good commercial acumen as well as being organized and efficient and providing high-quality legal and commercial advice to internal leadership and field operations.
Experience
Exercise a high level of professionalism and confidentiality when working with staff, projects and proprietary information.
Assist in all aspects of construction law, as well as ancillary legal areas applicable at Clark Pacific, such as corporate, prevailing wage, employment and labor law, subcontractor claims, bond claims, and subcontractor defaults among others.
Conduct moderate to complex legal research on a variety of topics in multiple states that relate to the business. Clark Pacific currently performs work across the United States, and in particular this position will focus on California.
Draft memoranda, correspondence, and reports summarizing research findings and offer opinions regarding liability, risk transfer, and exposure.
Compile documents and prepare draft discovery responses and respond to third party subpoenas.
Manage subcontractor defaults; work with project teams to ensure that Clark Pacific’s interests are properly protected by subcontractors’ bonding companies; assist in managing litigation arising out of any breach of payment or performance bonds.
Assist in managing builder’s risk insurance and general liability insurance issues on a variety of different project types in both pre-litigation and litigation mode.
Develop an understanding, and assist project teams in understanding, basic insurance coverage for construction defect claims, builder’s risk, auto, worker’s compensation and property damage claims while working in conjunction with the leadership team.
Review Project Labor Agreements and provide advice to operations regarding various terms and conditions and consistency with existing labor agreements.
Assist in communications with national, state and local regulatory agencies, such as the Equal Employment Opportunity Commission, Department of Fair Employment and Housing, Occupational Health and Safety Administration, and the National Labor Relations Board.
Work with the General Management Team on long range planning, growth, and other company initiatives.
Assist with all aspects of litigation - respond to document requests, prepare discovery responses, review and edit motions, briefs and memoranda from outside counsel; assist with managing outside counsel throughout the pre-litigation and litigation processes.
Assist in providing legal support to Clark Pacific’s leadership team during negotiation of downstream agreements.
Assist in preparation for and attend alternative dispute resolutions.
Provide general legal advice to Clark Pacific leaders and field team members.
Create, negotiate, review, and execute agreements (e.g., NDA, in licensing, IP co-development, asset purchase, refinancing, etc.).
Support strategic partnerships and mergers and acquisition activities. Develop and implement intellectual property protection strategies.
Experience
Required
15 year(s): A minimum of 15 years’ experience as an attorney is required.
Preferred
Litigation experience as well as familiarity with construction law is a plus.
Experience working with engineering, procurement, and construction agreements is a plus
Education
Required
Doctorate or better in Law
