The Role
Seeking an experienced General Counsel to play a key role in the Senior Leadership Team at Rockwell. The successful candidate will have overall responsibility for leading the legal function including legal and intellectual property strategy, risk management, compliance, contracting and advising the Company on strategic transactions, financings and corporate governance matters. Demonstrated ability to provide sound legal advice on a broad range of strategic areas, including M&A, licensing, corporate securities, commercial, privacy, regulatory, and employment. You must be diligent and proactive, show excellent business judgement and strategic thinking, along with the ability to work independently and collaboratively in a fast-paced team environment.
Responsibilities
· Collaborate with business development, clinical and Sr. Leadership Team to draft various agreements related to potential M&A, licensing, supply, partnerships, and collaborations.
· Provide high quality, timely and practical legal advice, and guidance to identify and help resolve critical legal and business issues arising from across the organization.
· Maintain corporate policies across the organization, managing updates as the laws and regulations change.
· Advising the business on pharmaceutical compliance, corporate governance, regulations, industry standards and company policies that arise throughout the product lifecycle.
· Providing legal advice and business counsel on public facing activities and programs, including review of advertising and promotional materials.
· Responsible for policy development, implementation and training.
· Oversee and manage a wide variety of agreements, including, service agreements, clinical trial agreements, confidentiality agreements, consulting agreements, and other commercial and R&D agreements.
· Maintaining corporate filings and records for the company and its subsidiaries.
· Assisting with corporate matters and projects, employment law matters, insurance procurement, litigation oversight and other duties and responsibilities as assigned.
· Coordinating and managing legal matters handled by outside counsel.
· Additional legal duties and projects as assigned.
Required Skills and Experience
Licensed attorney with 10+ years of experience in the life science, or pharmaceutical industry, with minimum of 5 years in a biopharmaceutical company providing advice on clinical and commercial matters.
Demonstrated leadership qualities including experience advising cross-functional teams, as well as sound business and legal judgment, and strategic and analytical thinking.
Real-time risk management capabilities in a landscape with shifting regulations and guidance and capability to provide long-term vision for the company.
Self-motivated, practical, and interested in working on a wide range of legal matters to lead the Company on legal implications of its business strategy.
Experience working with all levels of management and key business stakeholders with a demonstrated ability to effectively communicate legal risks to executive leadership and senior management.
Excellent organizational skills and able to work with a team to meet critical deadlines; flexible and capable of managing multiple projects simultaneously. Demonstrated leadership qualities including experience managing cross-functional legal teams, as well as sound business and legal judgment, and strategic and analytical thinking.
