Located in Waltham, MA, Tecogen Inc., a clean energy company providing ultra-efficient, clean, natural gas-powered on-site power, heating and cooling equipment, is seeking an experienced Commercial Contracts Counsel to assume responsibility for legal review and negotiation of significant commercial contracts for the company, and to assist the General Counsel with other matters. Candidate must be organized, detailed oriented, and able to handle multiple priorities in a fast-paced environment.
Primary Responsibilities
Draft, review, and negotiate commercial agreements including Equipment Purchase Agreements, agreement relating to equipment installation, operations and maintenance, and power purchase agreements
Draft, review, and negotiate agreements with strategic partners and joint venture partners
Review and confirm compliance with insurance policy requirements
Confirm terms and conditions are consistent with company policies
Manage contracting process, including working with standard agreements, seeking input from and advising decision-makers regarding deviations from standard agreements, and tracking agreements
Research legal issues affecting commercial contracts and relationships
Additional Responsibilities
Assist with review and filing of securities filings, including Forms 10-K, 10-Q, 8-K, Proxy Statements, and ownership disclosure filings
Participate in preparation and documentation of meetings of stockholders and directors
Assist with review and drafting of financing agreements and related matters
Assist with employment related agreements and issues
Qualifications and Experience
One to three years of experience drafting and negotiating commercial agreements
Experience managing contract processes
Admission to the Massachusetts Bar
