SUMMARY: A senior member of the Legal team providing input and resources to assist in the overall success of the company.
Oversees the administration of certain corporate matters, with specific focus and leadership in the areas of commercial contracts, commercial liability insurance, intellectual property, risk management, regulatory compliance, DTC matters, health and safety issues, distributor matters and the general business affairs of the Company. Reports to the Chief Strategy and Legal Officer and provides sound counsel to the other members of the legal department and to senior Duckhorn personnel in other departments. Plays a key leadership role in the review and negotiation of commercial contracts, in conjunction with other Duckhorn personnel, and is responsible for the maintenance of a system of organizing all contracts and other material documents. In conjunction with the Chief Strategy and Legal Officer, leads efforts to maintain the strength of all intellectual property. Participates in the management of and coordination with outside counsel. Demonstrates integrity above reproach, with the ability to think creatively, strategically and critically to present and implement optimal solutions.
ESSENTIAL DUTIES AND RESPONSIBILITIES:
Corporate and Business Affairs
Assist in the development and oversight of the implementation of corporate governance policies and procedures, codes of ethics, insider trading policies, board committee charters and similar policies applicable and appropriate for Duckhorn
Review and/or negotiate commercial contracts, in conjunction with other Duckhorn personnel
Maintain and refine a system of organizing, filing, and tracking all contracts and other material documents; develop an efficient contract review process and best practices trainings
Participate in the management of relationships with outside counsel and pursue the efficient use of outside counsel to complement internal resources
Act as Duckhorn assistant corporate secretary and attend to assigned corporate governance duties
Actively participate in the continued organic growth efforts and the acquisition of land, wineries, and related enterprise, including coordination with the Associate General Counsel; management of diligence processes and other transaction support, including the evaluation of regulatory, compliance and risk matters
In conjunction with the Chief Strategy and Legal Officer and other legal department members, provide advice to the Vice President of Human Resources and Human Resources-related personnel
Participate in the design and implementation of a comprehensive marketing and public communications strategy
In coordination with the Associate General Counsel, take a leading role in managing litigation matters and related external counsels
In coordination with the Associate General Counsel, provide insight and support to ESG initiatives and reporting
In coordination with the Deputy General Counsel, provide assistance on occasional projects related to SEC, investor relations and corporate governance matters
As a senior member of the Compliance team, be an active participant in the building and development of the Compliance department and all department personnel, helping them to meet Duckhorn’s expectations for productivity, quality and achievement
In coordination with the Chief Strategy and Legal Officer, participate in Duckhorn’s efforts and outreach with respect to government relations, industry groups and related external constituencies
Execute all duties and special projects assigned by the Chief Strategy and Legal Officer

Manage Coordinator, Compliance & Legal Team
Compliance – Alcoholic Beverage
In coordination with the Director, Regulatory Compliance, serve as the point person and key strategic advisor on all alcoholic beverage regulation matters
Establish, review, and maintain compliance programs, policies, and processes in all departments under authority of federal, state and/or local regulations; develop strategy for continued compliance in an evolving regulatory environment
Educate staff and management regarding policies and practices
Efficiently coordinate internal and external resources
In coordination with others in the Legal department, cooperate with local, state and federal governmental units and other organizations in identifying needs and providing assistance in enforcement of statutes
Conduct investigations to resolve complaints and report violations for adjudication
Provide support to and be a resource for the Director, Regulatory Compliance and staff with respect to bottling, blending and labeling compliance, winery bond changes and permitting requirements, state filings and other areas
Manage and facilitate maintenance of all 50 State Surveys
Serve as point person for all distributor changes and terminations
Maintain expert knowledge of compliance issues and remain current on trends and developments in the wine and alcoholic beverage regulation field
Maintain regular communication and coordination with Chief Strategy and Legal Officer and Director, Regulatory Compliance regarding all compliance matters
Risk Management / Intellectual Property
Maintain Duckhorn’s intellectual property portfolio consistent with best market practices; research potential trademark infringements and other issues relating to logos, copyright infringements, labeling requirements, and related elements
Participate in the relationship with outside counsel as it pertains to trademark maintenance, procurement, and oppositions
Lead efforts regarding insurance review and procurement, including all policy renewal applications related to Duckhorn insurance policies, including business insurance, crop insurance, inventory, vehicle, and property insurance
Act as company liaison with liability insurance carriers and brokers
Maintain regular communication and coordination with Chief Strategy and Legal Officer regarding all risk management and intellectual property matters and assist in enterprise risk reporting to the Company’s Audit Committee
QUALIFICATION REQUIREMENTS:
A law degree and admission to practice law in California (or willingness to gain admission). We consider the skills, experience and education of each applicant.
Minimum 4 years’ compliance and/or legal experience in corporate environment, including significant time addressing alcoholic beverage regulation matters
Knowledge of and significant experience identifying, researching, and solving alcoholic regulation matters, compliance questions, intellectual property and related matters
Familiarity with insurance and enterprise risk mitigation
Excellent written and oral communication skills; superior attention to detail and responsiveness
Ability and desire to research new areas of law and synthesize primary and secondary sources to provide advice and issue spot novel questions
Computer knowledge: Microsoft Excel, Outlook, Word, and PowerPoint
