HSF Affiliates LLC, the parent company of the Berkshire Hathaway HomeServices and Real Living Real Estate franchise networks has an opportunity for a Corporate Counsel to join our team at our headquarters in Irvine, California. We are a subsidiary of HomeServices of America, and an affiliate of Berkshire Hathaway Inc. Our business is providing tools and services for use by our networks of independently owned and operated franchisee real estate brokerages.

Summary

We are looking for an ambitious Corporate Counsel to join our Legal team. We are a small department of 2 lawyers (including this position) and 3 paralegals with primary responsibility for all legal matters affecting the business. In this position you will support the day-to-day business activities of HSF Affiliates LLC and its subsidiaries. You may be called on to respond to legal inquiries, provide problem solving and advice with respect to franchising matters, contracts, intellectual property and data security or privacy laws, or other matters to ensure maximum protection of the company's legal rights. Your role may also include directing the defense of the organization against litigation and/or claims, including providing supervision of and direction to outside counsel and preparing the prosecution of the company's claims against others.

Detailed Description

The Corporate Counsel will assist with overseeing the legal affairs of the organization, which includes any of the following job duties and responsibilities, plus potentially others as needed:

Advise management on legal issues or questions for assigned areas of the company.
Advise on legal perspectives including the implications of contracts for all aspects of the organization.
Supervise legal aspects of all the organization's transactions and prepare reports and statements of a legal nature.
Negotiate and document contracts, negotiable instruments and amendments to the foregoing.
Assist in developing plans, policies and objectives for the short- and long-range goals of the organization.
Monitor and participate in government inquiries and any other litigation or arbitration matters involving the company.
Participate in and/or supervise litigation defense of or the prosecution for, the company in claims and/or litigation issues and supervise any outside legal counsel.
Maintain corporate records.
Act to protect and enhance the organization's investments in subsidiaries and affiliates. Ensure that all activities are performed in compliance with local, state, and federal regulations and laws that govern business operations.
Supervise registration, renewal, and protection of trademarks, copyrights, franchise agreements, technology agreements, trade regulations and anti-trust laws, personnel and public relations.
Participate in the company's policy deliberations to ensure compliance with applicable laws and regulations.
Provide education and training to franchise salespersons and company employees.
Suggest organizational changes to policies and procedures as required by business development and growth.
Work Experience/Qualifications

Education:

Juris Doctor (J.D.) degree. Admitted to practice law before a State Supreme Court and a United States District Court.
Experience:

Five to ten years of experience in most major legal disciplines.
Franchising experience a plus.
Experience with data privacy regulations (GDPR, CCPA, etc.) a plus.
Experience with technology agreements a plus.
Knowledge and Skills:

High degree of proficiency in contract law, privacy and a working understanding of the real estate industry, technology and copyright and trademark law.
Demonstrated proficiency in management and supervision of complex litigation and strong negotiating skills.
Excellent oral and written communication skills, including presentation skills. Ability to professionally lead meetings and conduct business under a variety of situations.
Effective interpersonal skills and leadership abilities.
Effective analytical, problem-solving and decision-making skills.
Project management skills; ability to prioritize and handle multiple issues and projects concurrently.
Ability to manage stressful situations and deal with a variety of personalities.
Expectations:

Meet all performance and behavior expectations outlined in the company performance appraisal form or communicated by management.
Perform responsibilities as directed achieving desired results within expected time frames and with a high degree of quality and professionalism.
Establish and maintain positive and productive work relationships with all staff, franchisees and business partners.

Follow the company HR Policy, the Code of Business Conduct and all subsidiary and department policies and procedures, including protecting confidential company information, attending work punctually and regularly, and following good safety practices in all activities.

Willingness to travel when necessary.
California Bar admission preferred.
