Job Description
Reports to: VP and General Counsel
Part Time Position that Can/Will Become Full Time if Desired as our Business Expands
Will be the #2 lawyer in a $300 million (and fast growing) organization.
Work from home with travel initially to get to know the team. Our general counsel is in Connecticut; our CEO and CFO are in Las Vegas. If you prefer an office environment, we have office space in locations in NY, CT, Nevada, Arizona, California, Minnesota, Kentucky and Massachusetts. Where you work is up to you.
Hours approximate 20 per week; flexible schedule so long as time-lines are met. We are focused on someone who can be responsive to the needs of our sales team; we are not interested in how many hours it takes you to complete the work or what part of the day you devote to work.
Position is initially focused on negotiating contracts with customers on behalf of our multiple businesses and creating standards for each of those disparate businesses to empower our sales team to take the lead in negotiating. If you would like to expand your skill set, the opportunity also exists to work on M&A, financing, securities and other transactions. Alternatively, you will have the opportunity to become internal employment/litigation counsel as demand for those services expands. REQUIREMENTS
On the contracts assigned to you, you will take the lead in reviewing and negotiating contractual terms and conditions. Typical contracts include (i) non-disclosure agreements, (ii) supply agreements, (iii) procurement/purchasing agreements, (iv) employment agreements, and (v) quality agreements.
This role is integral to teaching and empowering our sales team to take the lead in negotiating our commercial contracts. With the General Counsel, you will help create training materials (and train) our sales team on how and what to negotiate with customers with respect to commercial matters. You will be the final approval/review on those agreements. We will also create materials that enable us to (i) audit the performance of our sales team as commercial negotiators and (ii) index our various contracts and the terms and conditions we have negotiated with various customers.
In the course of this role, you will become expert in contractual and performance issues most relevant to contract manufacturing companies. A willingness to learn and adapt to that learning is required.
QUALIFICATIONS
Be a lawyer!
Have spent several years negotiating contracts, preferably (not necessarily) in an in-house environment.
Have the knowledge, or be willing to learn, what matters in a manufacturing environment.
Remember that we only win if we reach an agreement with our customers that works for both of us. Negotiation is not zero sum. We’re trying to make sure that we make promises we can keep. Your legal training will make it easy for you to identify what promises we’re making in a document. Your willingness to learn will help you identify the promises we can reliably make to our customers.
