POSITION SUMMARY

Corporate Counsel will be responsible for managing all the legal aspects of the company to achieve compliance with applicable laws and regulations. In addition Corporate Counsel will provides advice about all relevant legal issues, manage outside counsel and serve as Corporate Secretary. This position will ensure legal conformity and minimize probability of legal and regulatory exposure. While the Corporate Counsel will manage a wide range of legal and regulatory issues for the company, Corporate Counsel will have particular focus on state insurance regulatory compliance. Corporate Counsel will report directly to the Chief Finance and Operating Officer.

ROLES AND RESPONSIBILITIES

Taking the lead on all regulatory issues
Lead, manage, and have direct responsibility for state insurance regulatory compliance.
Negotiating, writing and executing agreements and contracts on behalf of the company
Offering counsel on a variety of legal issues
Advising executives with the company
Collaborating with all departments to assure legal adherence
Advising on contract status, legal risks and legal liability associated with different transactions
Managing all contracted outside legal counsel
Researching and anticipating unique legal issues that may impact the company
Coordinate professionally with HR, Senior Executive Team and outside Counsel pertinent to enforce company’s procedures and policies.
MINIMUM REQUIREMENTS:

Education/License: Law degree required from an ABA accredited law school. In good standing to the Maryland State bar, license must be current and remain current during employment term.

Experience:5+ years of health care legal experience, specifically state insurance regulatory experience required. Medicare compliance experience strongly preferred.

Skills:

Strong interpersonal skills
Must be able to communicate effectively
Must be able to work as part of a team
Strong negotiating skills
Ability to work independently
