THE TEAM
Make-A-Wish America is the national headquarters for our organization, providing resources and support for our 60 Chapters around the country. The Legal Team ensures Make-A-Wish America complies with applicable laws and regulations; protects its intellectual property and other assets; and prudently manages its legal affairs in the most efficient and effective manner possible.
WHERE YOU COME IN
As the Assistant General Counsel at Make-A-Wish America you will:
Provide guidance to chapters on issues of common interest or concern, often involving highly confidential information.
Provide advanced legal advice to the organization; prepare resolutions, reports, guidelines, etc.; and participate in major legal actions.
Help protect Make-A-Wish’s trademarks and service marks by drafting cease-and-desist letters, investigating inquiries/complaints about improper trademark usage, performing clearance searches before new trademarks are adopted, etc.
Review fundraising appeals and other marketing collateral to ensure compliance with applicable laws and best practices.
Assist in addressing incident reports submitted through the organization’s confidential whistleblower hotline.
Work closely with other departments to foresee and protect the organization against legal risks.
Responsible for handling complex legal matters for a specific legal function or department within organization.
Review legal documents and direct legal research to support the organization’s internal and/or external activities/interests.
Assist with matters involving corporate governance, including reviewing and revising national board and committee meeting agenda items, minutes, etc.
May assume the responsibilities of the General Counsel in his/her absence.
Perform other job-related duties as assigned.
Draft, review and negotiate Make-A-Wish America contracts, including fundraising license agreements, vendor contracts, etc.
Work closely with outside IP counsel on issues involving Make-A-Wish America’s portfolio of “Marks” in the U.S. and internationally and serve as the primary liaison with Make-A-Wish International on matters relating to foreign trademark registrations, renewals and enforcement.
WHAT YOU’LL NEED
General knowledge of federal and state laws affecting nonprofit organizations
Ability to handle varied workload while managing priorities and deadlines
Interpersonal skills to engage effectively with individuals at all levels of the organization
Ability to work both as a team member and independently
Excellent organizational skills and strong attention to detail
Juris Doctor degree from accredited law school
Minimum five to eight years of prior legal experience in private practice or an in-house corporate or nonprofit law department
Strong written and oral communication and interpersonal skills
Ability to absorb and apply new information rapidly and to find creative and practical solutions
