Full Job Description
The General Counsel is the head of Microvast’s legal department and is responsible for the legal affairs of the entire corporation. This role oversees and manages the provision of all legal services to Microvast to ensure maximum protection of its legal rights and to maintain its operations within the limits prescribed by law. This role includes providing legal counsel to the Board of Directors, Chairman of the Board, Chief Executive Officer, and other senior management. The General Counsel must possess strong initiative, as well as excellent management and leadership skills and strong business acumen.
Duties and Responsibilities
· Develops and leads corporate legal strategy to promote and protect the company’s matters
· Oversees the delivery of legal services and resources to accomplish corporate goals, strategies and priorities
· Provides legal counsel and guidance to the officers of the institution and other upper management on all legal matters relevant to a public institution, including personnel law, real estate transactions, intellectual property law, contracts and grants, securities law and tax matters, worker’s compensation, liability and insurance matters, public monies and purchases, affirmative action, and other laws and regulations
· Develops and leads internal audit and corporate compliance programs
· Maintains proper corporate interactions with the relevant local, state, and federal government bodies, legislatures and the community at large
· Reviews contracts, leases, and other legal documents; researches legal issues and recommends revisions as necessary
· Represents or oversees the representation of the company and upper management in judicial and administrative proceedings , and in negotiations with other state agencies
· Designs, establishes, and maintains an organizational structure and staffing to effectively accomplish the organization’s goals and objectives; oversees recruitment, training, supervision, and evaluation of legal staff
· Develops and manages annual budgets for the organization and performs periodic cost and productivity analyses
· Selects, retains, and manages outside counsel, as required, to obtain legal opinions or to handle claims and litigation
· Supervises legal work of other attorneys, paralegals, and outside counsel; consults on difficult or sensitive issues
· Provides training to the Microvast community on various legal issues through seminars and meetings
· Maintains professional growth and development through seminars, workshops, and professional affiliations to keep abreast of latest developments in the industry, relevant laws, and other related areas
· Performs miscellaneous job-related duties as assigned
Knowledge, Skills, and abilities
· Excellent verbal and written communication skills
· Demonstrated ability to successfully manage a large corporate or centralized institutional legal office
· Skill in budget preparation and fiscal management
· Ability to provide competent legal advice and counsel to senior leaders on a wide range of legal and policy issues
· Knowledge of the range of applicable laws and regulations which impact all facets of the company and its operations
· Ability to analyze and interpret issues and to prepare legal opinions
· Ability to communicate and interact with officials at at all levels of government
· Ability to supervise and coordinate the work of legal professionals, paraprofessionals, and consultants
· Ability to foster a cooperative work environment
· Employee development and performance management skills
· Negotiating skills
· Knowledge and understanding of institutional policies and procedures and the regulatory environment within which they operate
· In-depth knowledge of intellectual property law, contract law, securities law, and labor law
· Knowledge of the judicial systems and procedures
· Knowledge of legal documentation procedures and requirements
· Ability to develop and implement legal strategies and solutions
· Knowledge of community legal resources
Minimum job Requirements
· Bachelor’s degree in Business, English, Political Science, or other Arts and Humanities
· Juris Doctor (JD) from an accredited, top-tier law school
· 10+ years experience in a law firm or serving as in-house counsel
· Must have experience working with public companies and with SEC requirements
