Focus Universal is an emerging and fast-growing technology company that is aiming to revolutionize the current IOT industry. The Company products utilizing the patented technology are set to go to market this year and the Company is planning to expand very quickly.
This will be the Company's first internal legal counsel position. We are looking for an attorney to assist in the negotiation, drafting and management of commercial contracts, distribution agreements, licensing agreements and intellectual property matters. This person will also be responsible for compliance matters across multiple areas of the business, including privacy, data protection, and other laws that directly affect our business operations. The attorney may also assist with public filings and consult with contracted counsel.
Required Responsibilities:
Management of the Company's IP Portfolio including the filing and monitoring of patents, trademarks, and copyrights with the USPTO as well as manage international registrations in the EU and in other countries, as applicable; manage our domain portfolio; enforce our IP rights against third parties, including the filing and management of ICANN complaints, DMCA complaints, issue cease and desist letters, and work with outside counsel on IP litigation as needed.
Work on acquisitions together with the finance and marketing teams, including preparation and review of due diligence requests, review of documentation, drafting asset and stock purchase agreements, as applicable, and work with outside counsel and the internal teams on pre-closing and post-closing matters.
Contract drafting, review and negotiation, including managing relationships with internal teams and review/redline vendor agreements, draft NDAs, confidentiality agreements, non-compete, and other types of consulting and contractor agreements in areas of product, marketing, technology, licensing, payments, customer service, and operations, among other areas.
Monitor and enforce compliance throughout our business activities, including monitor and update our sites terms of use, privacy policies, cookies and tracking policies, disclosures through the sites, as well as ensure compliance with US and International laws such as GDPR, US and international privacy rules, credit card scheme regulations, consumer data protection rules, and others as may be applicable in conjunction with the business needs.
Support the customer care team from a legal perspective on multiple areas such as customer complaints, attorney general complaints, and other issues as they arise.
Support the headquarters and corporate operations teams including accounting, finance, tax and corporate, with day to day legal matters, as needed.
Perform other job-related duties as assigned.
Required Qualifications:
6 to 10 years of law firm practice or equivalent in-house experience is a must.
A Juris Doctor is required and admitted to practice law in the US or Puerto Rico; LLM in Intellectual Property or Business is desired.
The candidate must also have high attention to detail and accuracy with the ability to multi task, strong English communication skills both verbal and written, full knowledge of legal principles and practices, and strong legal research and analytical techniques.
Knowledge and understanding of IOT industry terminology with solid experience drafting and reviewing commercial contract. Strong sense of confidentiality.
