SUMMARY:
This position reports to the General Counsel. Areas of expertise include real estate acquisition, disposition and financing. National company requires knowledge and/or experience in multiple jurisdictions.
ESSENTIAL DUTIES AND RESPONSIBILITIES:
Reviews title, survey, environmental and due diligence issues with local counsel and project management team
Reviews and negotiates financing term sheets and loan documents (including acquisitions, development, construction, permanent and mezzanine loans)
Prepares formation and governance documents of business entities
Prepares, review and negotiates joint venture agreements
Assists local counsel in acquisition and finance closings
Performs other related duties and assignments as required
Prepares and/or reviews letters of intent
Prepares and/or reviews broker agreements
Prepares, reviews and negotiates purchase contracts
Coordinates due diligence review
SUPERVISORY RESPONSIBILITIES:
May be required to supervise associate counsel and outside counsel on special projects. Supervises his/her own clerical staff.
QUALIFICATIONS: High degree of accuracy and attention to detail. Excellent organizational skills, follow-up skills, and presentation (written and oral). Good problem-solving skills.
EDUCATION and/or EXPERIENCE:
Juris Doctor (J.D.) from accredited university. Excellent academic record required. This position generally has 5 or more years of experience in the real estate, corporate transactional, acquisition and finance field.
CERTIFICATES and LICENSES:
Must be a member of a State Bar Association in good standing.
LANGUAGE SKILLS:
Ability to read, analyze and interpret general business periodicals, professional journals, technical procedures or government regulations. Ability to write reports and business correspondence. Ability to effectively present information and respond to questions from groups of managers, clients, customers, and the general public. Bilingual as required.
REASONING ABILITY:
Ability to define problems, collect data, establish facts, and draw valid conclusions.
