Northwest Farm Credit Services is in search of an Assistant General Counsel to join our Legal Department. The preferred location for this role is at our Spokane, Washington Headquarters; alternatively it can be based in our Nampa (ID), Bozeman (MT), Salem (OR) Pasco (WA) or branches.

This full-time position reports to the EVP-General Counsel and provides legal counsel and support to management, lending, credit, and other staff on legal and regulatory matters relating primarily to lending activity (including commercial and consumer loans, large and complex loans, as well as syndications and participations) and new loan product development. This role also provides support and assistance to the General Counsel on strategic, regulatory and operational matters for which he is responsible.
Essential Duties and Responsibilities
Represents Northwest FCS' legal interests by providing legal support, research, analysis and advice to internal customers (staff and management).
Advises on all legal aspects of lending, including analysis, title, loan, collateral and security requirements, document review and preparation, and loan closing.
Provides formal and informal legal training for staff and management.
Prepares large and complex loan documentation; reviews loan documentation and crafts customized language; and develops, prepares and reviews policies, procedures, processes and templates for preparation and processing of all association legal documents.
Provides legal support for the development and adequacy of master loan agreements and documentation associated with multiple lender loan facilities.
Provides legal support for new loan product development and general legal matters, including bankruptcy, workouts, restructures, association insurance, customer crop insurance, leasing, vendor contracts, facilities management, employment, consumer law, borrower rights, compliance and other internal and administrative documentation.
Works with outside counsel for lending related matters, enforcement matters and non-loan related matters involving Northwest FCS. This includes establishing appropriate parameters and procedures for each engagement.
Assists with public affairs matters by reviewing proposed state and federal legislation, proposed federal regulations, litigation relevant to Northwest FCS, and other areas pertinent to business operations.
Collaborates on projects pertaining to strategic and operational initiatives as assigned by General Counsel
Operates as a back-up to the General Counsel to provide legal counsel, advice and written legal opinions, research or other communications to senior management, supervisors and branch offices, as requested or assigned and in the absence of or as assigned by the General Counsel.
Perform all duties and maintain all standards in accordance with company policies, procedures, and internal controls.
Other duties as assigned.
Bachelorís degree and Juris Doctor degree
Admission to practice law in at least one state named in the Charter of Northwest FCS; this may include limited in-house licensing
Successful and progressively responsible legal experience, generally over the span of at least eight years, with emphasis in loan origination and closing, real property, participations / syndications, construction, leasing, and related areas of law
Knowledge of laws and regulations related to commercial and consumer lending, including but not limited to the Truth in Lending Act, Equal Credit Opportunity Act, Real Estate Settlement Procedures Act, Fair Credit Reporting Act, the Farm Credit Act and FCA regulations
Ability to identify legal issues and advise accordingly, both in writing and verbally
Proficiency at client counseling, document preparation, negotiation and legal research
Extensive, successful and progressively responsible legal experience, likely spanning at least 15 years
Experience with agricultural and consumer related lending
Experience working for a Farm Credit bank or association or other lending institution
Experience in providing legal advice to a regulated lender, preferably a regulated lender in the Farm Credit System or other agricultural lender.
Experience in corporate governance matters
Experience in advising senior executives, boards and board committees
Experience in dispute resolution and litigation management
