Crowe LLP is seeking an Assistant General Counsel for Litigation and Regulatory Affairs. This Assistant General Counsel will manage the firm’s responses to all litigation, regulatory investigations, and subpoenas, as well as advise our professionals involved in high risk client work. The Assistant General Counsel will report to the General Counsel within Crowe’s Firm Risk Management business unit and will have significant exposure to the company’s partners, management, and all functional areas.
Role and Responsibilities:
Oversee and manage all disputes and potential disputes for which the firm could incur liability, including matters relating to professional services, regulatory enforcement, data protection, information security, labor and employment, and subpoenas;
Apply industry and regulatory standards (including SEC, PCAOB, and AICPA requirements) applicable to assurance, tax, and consulting services, combined with a professional litigator’s strategic and tactical judgment, when advising our professionals and leadership on regulatory investigations or other issues presenting risk to the firm;
Develop a thorough understanding of each delivery unit’s business risks and requirements and use this understanding to craft creative legal solutions to our clients’ problems;
Respond to civil and regulatory subpoenas related to professional services;
Manage outside counsel for Crowe including case assessment, budget, discovery, and settlement;
Provide advice regarding the laws, regulations, and professional standards relating to the banking or financial services industry, internal audit, SOX, healthcare, and the accounting profession;
Learn in detail our data platforms, information repositories, organizational structure, and related systems to meet legal preservation requirements;
Supervise and mentor others in their career development; and
Help lead transformation in the Legal Department by identifying technology and innovation that will create efficiency.
Crowe’s Firm Risk Management business unit and its Legal Department are critical components of the firm's organizational structure. The Assistant General Counsel for Litigation and Regulatory Affairs will support the General Counsel and other Crowe personnel in the development of overall risk management and legal strategy and assist with its implementation. To perform this function, the Assistant General Counsel must learn general firm practice in a wide variety of areas, proactively identify issues presenting risk to the firm, and act as a driver of good business process. A successful candidate will commit to learning Crowe’s multiple business lines at a detailed level and be a leader capable of developing and maintaining close working relationships with the firm’s other business leaders.
Our attorneys are expected to work on a broad variety of legal matters outside of their central role. In addition to the above Role and Responsibilities, the Assistant General Counsel will review, revise, and negotiate professional services and technology agreements; utilize our contract management software for such agreements; and assist with merger and acquisition activities. Members of the Legal Department must lead, educate, and assist our business leaders in a collaborative manner, seeking practical and creative solutions to the issues confronted.
The Legal Department manages a large volume of requests, and candidates must have the ability to fluidly manage workload in accordance with business objectives and internal client priorities. Candidates for this position must possess superb organizational skills, business judgment, strategic thinking, and writing and verbal communication skills. Candidates must be team oriented and unafraid of rolling up their sleeves to take on tasks as needed. Enthusiasm for learning new technology and strong knowledge of Microsoft Office are required. Additional experience that will be helpful for this role – but is not required – includes handling bankruptcy claims and preference action responses, providing advice on corporate governance, and advising on a range of intellectual property matters as they relate to licensing of software, marketing, trade secrets, patents, and copyright.
Candidates must have at least ten years of relevant experience in a law firm, government agency, or in-house counsel role and be admitted to a state bar in good standing. Candidates will be required to take and pass the Illinois bar, but Illinois admission is not a prerequisite. Preferred candidates will have experience in the public accounting industry or a CPA license. In the pandemic environment, you will be expected to work primarily from home. Once pandemic safety-related precautions ease, candidates will be expected to work two-three days per week in our Oak Brook, Illinois office, and may work at home or in our Chicago office during other days of the week.
