Overview
\nThe Director of Business Affairs \u2013 Hotels is responsible for providing legal support to the hotel development and operations teams on franchise, management, and hotel development matters, including preparation of FTC and international disclosure documents, franchise agreements, franchise compliance monitoring, and default notices, as we reviewing property-level contracts (e.g., event contracts, group business, sales, location agreements and all other vendor contracts, as assigned), advising General Managers of our managed hotels, developing standard operating procedures and advising management on changes in laws and regulations that affect the managed business. The Director will also draft, review, and negotiate management agreements and partner with the development team to complete hotel management transactions.<\/p>\n

Responsibilities <\/p>\n

BUSINESS RESULTS:
\n\u2022Serve as Counsel for the Hotel Division.
\n\u2022Provide legal advice during the negotiation of hotel deals (i.e. draft and analyze hotel agreements, including management agreements, license agreements, reservation agreements, letters of intent, confidentiality agreements and various ancillary agreements.
\n\u2022Review and approve use of outside counsel along with management of outside counsel legal fees.
\n\u2022Supervise Hotel Division related litigation and disputes.<\/p>\n

LEADERSHIP & EXECUTION:
\n\u2022Manage and lead domestic and international hotel development deals.
\n\u2022Provide legal advice and support relating to hotel operating matters.
\n\u2022Prepare legal documents for the various hotel properties (i.e. related amendments, notices, lender consents, and assignments).
\n\u2022Prepare and update all FTC Disclosure documentation for domestic hotel franchises, international Disclosure Documents, and international hotel franchises.<\/p>\n

GUEST ENGAGEMENT:
\n\u2022Collaborate with the Development and Operations teams to assure the right level of hotel standards are set forth in agreements with reference to the details of standards expected of partners and branded hotels.<\/p>\n

EMPLOYEE ENGAGEMENT:
\n\u2022Assure the right level of employee oversight is included in all of the hotel agreements with regard to approval of key positions.<\/p>\n

LEARNING & APPLYING EXPERTISE:
\n\u2022Collaborate with the entire Business Affairs team to assure alignment and consistency is applied for hotel deals as it relates to areas of overlap within the other business units \u2013 cafe, retail, casino, IP use.<\/p>\n

Qualifications
\n\u20223 \u2013 7 years in corporate transactions with a focus in hospitality business.
\n\u2022Bachelor\u2019s degree, law degree and admission to the Bar in at least one state (FL preferred).
\n\u2022Combination experience in development, management and franchising with combination of national\/international within a law firm and in-house experience.
\n\u2022Negotiating experience with proven positive results; as an in-house legal advisor is a plus.
\n\u2022Proven record of multi-facet experience and exposure in legal advisement (i.e. trademark, real estate, franchise agreements, health and safety, crisis management, labor relations)
\n\u2022Knowledge in hospitality business inclusive of restaurants, retails, hotels, casinos, and real estate.
\n\u2022Experience in working in a regulated industry.
\n\u2022Excellent verbal and written communication skills inclusive of strong legal drafting skills.
\n\u2022High level of business acumen and common sense.
\n\u2022Ability to promptly and effectively respond to questions and concerns from senior management, clients, customers, and regulatory agencies.
\n\u2022Ability to anticipate issues and estimate risks.
\n\u2022Ability to define problems, collect relevant information, establish facts, draw valid conclusions and exercise sound discretion and judgment in making decisions and performing duties.
\n\u2022Organized self-starter.
\n\u2022Ability to prioritize workload and manage deadlines.<\/p>\n

LANGUAGE SKILLS
\n\u2022Must possess strong communication and listening skills, excellent speaking, reading and writing.
\n\u2022Comprehend and use technical or professional language, either written or spoken, to communicate complex ideas.
\n\u2022Multiple language abilities a plus, fluency in English required.<\/p>\n
