Position Summary
\nThe General Counsel (GC) willoversee and supervise all functions relating to legal affairs, compliance, riskmanagement and governance. The GeneralCounsel will supervise the director of compliance and risk management and othersupport staff. In carrying out duties,the GC will have access to the Executive Director and members of the Board of Directors.<\/p>\n
Good Shepherd Services adheresto the highest standards of ethical conduct and conformity with governmentstatutes and regulations. It is the roleof the GC to ensure that GSS maintains these standards.<\/p>\n
MajorResponsibilities
\n\u2022Governance
\n\u25feServingas \u201csecretariat\u201d to the Board and its Executive and Governance Committees
\n\u25feMonitoringany changes in State or NYC statutory or regulatory environment and ensureGSS\u2019s corporate documents and procedures are in compliance
\n\u25feEnsuringthat GSS operates in a manner such that GSS\u2019s 501(c)(3) status is maintained <\/p>\n
\u2022General Business and Government Relations
\n\u25feEstablishingstandards and protocols for all contracts, leases and other legal documents
\n\u25feReviewingand approving \u201csignificant\u201d contracts and leases and monitor implementation ofothers
\n\u25feReviewinggovernment and foundation contracts in coordination with program staff
\n\u25feAdvisingon legal aspects of business relationships
\n\u2022Triage Outside Counsel Relationships
\n\u25feProvidingadvice to administrative and program staff on matters that may require outsidecounsel
\n\u25feMonitoringand approving retention agreements with outside counsel
\n\u2022Coordinate all compliance activities
\n\u25feServing as the agency\u2019s officer for HIPAA, OMIG compliance, coordinating and directing administrative and program staff as they implement GSS\u2019s compliance plans in both areas
\n\u25feProvide counsel to Human Resources Department and program staff in relation to Justice Center matters and serving as the agency\u2019s official liaison to the Justice Center with regard to reporting and pending investigations
\n\u25feAssessing GSS practices within its program and administrative departments to ensure that they meet both statutory and regulatory requirements
\n\u2022Oversee risk management and insuranceactivities
\n\u2022Coordinate with CFO on broker and insurancecarrier selection and policy renewal negotiations
\n\u2022Other duties as assigned<\/p>\n
MinimumRequirements
\n\u2022Juris Doctorate from an ABA accredited lawschool
\n\u2022Admission to the State of New York Bar
\n\u2022Must retain status as a member of the New YorkState Bar in good standing for the duration of employment
\n\u2022Minimum of ten years\u2019 of progressivelyresponsible legal experience with preference given to prior assignments in a relevantgovernment, non-profit, health care, or higher education setting or legal firmor advocacy organization experience with direct involvement in the issues thatface GSS
\n\u2022Strong analytical, interpersonal and writingskills
\n\u2022Experience with Medicaid, HIPAA, a plus<\/p>\n
PreferredQualifications
\n\u2022Ability to frame legal issues in a manner thatserves to inform organizational decision-making to enhance services to clients whileat the same time mitigating risk
\n\u2022Ability to work as an active member of thesenior management team in a highly collegial organization
\n\u2022Capacity to set and advance organizational prioritiesin ways that support the agency\u2019s goals and objectives and are consistent withthe highest ethical standards
\n\u2022Highly skilled at articulating agency positionsto external constituencies<\/p>\n
