Position Summary<\/i><\/b><\/p>\n

Provides general legal advice to the company related to insurance, securities and contractual matters, primarily with respect to Lombard International Administration Services Company, LLC, (LIAS) and the lines of business it services. Acts as primary legal liaison between LIAS and the insurance carrier whose business it administers, as well as between LIAS and its affiliates. This position reports to the affiliated insurance company\u2019s US General Counsel.<\/p>\n

Responsibilities<\/i><\/b><\/p>\n

    \n
  • Maintains private and public disclosure documents associated with the administered products, and tracks pipeline of investment, regulatory and administrative updates needed.<\/li>\n
  • Negotiates changes to investment management, hedge fund and mutual fund participation agreements for inclusion within separate account product lines.<\/li>\n
  • Oversees and manages the LIAS compliance department.<\/li>\n
  • Miscellaneous legal functions in support of the business including broker compensation agreements, non-disclosure agreements, stable value contracts, contract disputes and corporate governance matters.<\/li>\n<\/ul>\n

    Desired Skills and Experience<\/i><\/b><\/p>\n

      \n
    • 8 to 10 years of experience in a law firm and\/or corporate legal setting.<\/li>\n
    • Experience working with federal securities laws applicable to private and public offerings, including Investment Company Act of 1940, as well as related tax regulations.<\/li>\n
    • Experience in drafting and negotiating complex financial services contracts.<\/li>\n
    • Variable Life Insurance and Variable Annuity product experience is beneficial.<\/li>\n<\/ul>\n

      Requirements<\/i><\/b><\/p>\n

      • \n
          \n
        • JD from an ABA-accredited law school.<\/li>\n
        • Admitted to practice law in any US jurisdiction and, if not admitted to practice in the Commonwealth of Pennsylvania, eligible for Pennsylvania Limited In-House Corporate Counsel License.<\/li>\n
        • Excellent organizational skills.<\/li>\n<\/ul>\n<\/li>\n<\/ul>\n
